Rathbone Brothers Plc Director and PDMR Shareholding 
 The Rathbone Savings Related Share Option Plan 
 
 On 29 April 2016, options over Rathbone Brothers Plc ordinary shares of 5p
were granted with an exercise price of £16.48 in accordance with the rules of
the H.M. Revenue and Customs approved Rathbone Savings Related Share Option
Plan 2009. The price of £16.48 was the closing mid-market price on 5 April
2016 of £20.59 (less a 20% discount), set prior to the 6 April 2016
invitation date. 
 
 Options were granted to the following directors and persons discharging
managerial responsibility (PDMRs). Options are exercisable at the end of a
three or five year savings contract commencing on 1 June 2016.
