Additional Listing

 

Further to the announcements on 23 June 2021 and 21 October 2021 regarding the
acquisition of Saunderson House, Rathbones confirms that it has paid the
deferred consideration of £14.9m to funds advised by Epiris LLP and the
management and employees of Saunderson House. This comprised £10.9m in cash
and 211,767 new ordinary shares in Rathbones equating in value to £4.0m at a
fixed share price of £19.13 (the average price over the ten-day period prior
to 21 June 2021).

 

Accordingly, applications have been made to the FCA and the London Stock
Exchange for 211,767 new ordinary shares (the "Deferred Consideration shares")
to be admitted to the premium listing segment of the Official List and to
trading on the Main Market (together, Admission"). It is expected that
Admission of the Deferred Consideration shares will become effective, and
dealings will commence at 8.00 a.m. on 26 October 2022. The 211,767 new
ordinary shares will rank pari passu with the existing issued shares of
Rathbones.

 

Following Admission of the Deferred Consideration shares, Rathbones will have
63,366,587 ordinary shares of 5p each in issue. This number represents the
total voting rights in the Company and may be used by shareholders as the
denominator for the calculations by which they can determine if they are
required to notify their interest in, or a change to their interest in, the
Company under the Financial Conduct Authority's Disclosure Guidance and
Transparency Rules.
