Rathbones Group Plc (the "Company")

Notification of Transactions of Persons Discharging Managerial
Responsibilities

Following shareholder approval of the Directors' Remuneration Policy at the
2024 Annual General Meeting, the Company announces that the following PDMRs
were granted share award in accordance with the rules of the Rathbones Group
Plc Performance Share Plan for 2024.

 

The Performance Share Plan Award (PSP) will vest on the third anniversary of
grant subject to meeting the performance conditions applied to the awards
measured over the three-year period ending 31 December 2026 as disclosed on
page 128 of the 2023 Annual Report and Accounts.

 

These awards were made at a share price of £15.41, based on the average share
price over five days preceding the grant date and discounted to reflect the
absence of dividend equivalents over the vesting period. For Executive
Directors, Paul Stockton and Iain Hooley, the PSP Awards will be subject to a
two-year post-vesting holding period. These awards are subject to malus and
clawback provisions.

 

The notifications below, which have been made in accordance with the
requirements of the UK Market Abuse Regulation, provide further detail.
