Rathbones Group Plc (the "Company")
Notification of Transactions of Persons Discharging Managerial
Responsibilities
The Company announces that the following PDMRs were granted share awards in
accordance with the rules of the Rathbones Group Plc Performance Share Plan
for 2025.
The Performance Share Plan Award (PSP) will vest on the third anniversary of
grant subject to meeting the performance conditions applied to the awards
measured over the three-year period ending 31 December 2027. These awards were
made at a share price of £13.73, based on the average share price over five
days preceding the grant date and discounted to reflect the absence of
dividend equivalents over the three-year vesting period. For Executive
Directors, Paul Stockton and Iain Hooley, the PSP Awards will be subject to a
two-year post-vesting holding period.
The Deferred Share Award will vest over a three-year period in equal tranches
of one third per annum. The award was made at a share price of £15.39,
£14.56, and £13.73, based on the average share price over five days
preceding the grant date and discounted to reflect the absence of dividend
equivalents over the annual vesting cycle. The awards are subject to malus and
clawback provisions.
