Notification of Transactions of Persons Discharging Managerial
Responsibilities

 

The Company announces that Jonathan Sorrell, Group Chief Executive Officer,
has been granted share awards in accordance with the rules of the Rathbones
Group Plc Performance Share Plan (PSP) on 22 August 2025. Jonathan's
remuneration arrangements were set in line with the Rathbones Directors'
Remuneration Policy which was approved by shareholders at the 2024 AGM.
Further details of any awards will be set out in the 2025 Directors'
Remuneration Report.

 

The below awards relate to:

1.      Buyout awards to replace previously deferred remuneration foregone
when joining Rathbones. These awards were made on a like-for-like basis in
Rathbones shares and will vest in various tranches over the next three
years.

2.      A 2025 PSP award, subject to previously disclosed performance
conditions measured over the three-year period ending 31 December 2027. This
award is subject to a two-year post-vesting holding period.

 

These awards provide immediate alignment to Rathbones share price and
performance. The number of awards granted was calculated based on the average
share price over five days preceding the date of Jonathan joining Rathbones
and discounted to reflect the absence of dividend equivalents over the
relevant vesting periods.

requirements of the UK Market Abuse Regulation, provide further detail.
