 RATHBONES GROUP PLC (the "Company")

 Transactions in own shares
 The Company announces that, in accordance with the terms of its share buyback
 programme (the "Programme") launched on 2 September 2025, it has purchased for
 cancellation the following number of its ordinary shares of 5 pence each
 ("Ordinary Shares") on the London Stock Exchange through Merrill Lynch
 International ("MLI").

 Date of purchase:                                              27 January 2026
 Number of Ordinary Shares purchased:                           17,547
 Lowest price paid per share (p):                               2,200.0000
 Highest price paid per share (p):                              2,220.0000
 Volume weighted average price paid per share (p):              2,210.2747

 Following the above transactions, the issued share capital of the
 Company will consist of:
 •    90,969,243 Ordinary Shares of 5 pence each with voting rights; and
 •    17,481,868 Convertible Non-Voting Ordinary Shares of 5 pence each.
 The Company does not hold any shares in treasury as at the date of this
 disclosure.
 The Convertible Non-Voting Ordinary Shares do not have voting rights. The
 total number of voting rights in the Company is therefore 90,969,243 and may
 be used by shareholders (and others with notification obligations) as the
 denominator for the calculations by which they will determine if they are
 required to notify their interest in, or a change to their interest in, the
 Company under the FCA's Disclosure Guidance and Transparency Rules.
 Since the announcement of the Programme on 2 September 2025, the Company has
 purchased 2,323,126 Ordinary Shares in aggregate for cancellation.
 In accordance with Article 5(1)(b) of Regulation (EU) No 596/2014 (the Market
 Abuse Regulation), a breakdown of the individual trades made by MLI as part of
 the Programme is detailed below:
