Change of Auditor

 

RC365 Holding Plc ("RC365"), a company focusing on payment gateway solutions
and IT support and security services, is pleased to announce the appointment
of Jeffreys Henry LLP ("Jeffreys Henry"), (member of the Morison Global group)
as auditor to the Company.  The appointment of Jeffreys Henry will be subject
to approval by shareholders at the next Annual General Meeting of the Company.

The appointment of Jeffreys Henry follows the resignation of Moore Kingston
Smith as auditors to the Company.  Section 519 of the Companies Act 2006
(the "Act") requires Moore Kingston Smith to send a statement of the reasons
for ceasing to hold office.  They are also required, under this section of
the Act, to include details of any matters that they consider need to be
brought to the attention of members or creditors of the Company.  They have
stated that in accordance with Section 519 of the Act, they are ceasing to
hold office due to the following reasons which they believe should be brought
to the attention of the Company's members or creditors:

·    Moore Kingston Smith LLP (the firm) was appointed as auditors of the
company as part of the process of it obtaining a Standard Listing on the
London Stock Exchange as we acted as reporting accountants. At the time it had
not been determined whether we would act as statutory auditors of the company
following the listing. Following a review of the firm's existing portfolio of
public interest entities the firm took the decision not to act as statutory
auditor and has therefore resigned.

As required by the Act, RC365 will send a copy of Moore Kingston Smith's
resignation letter to its shareholders.

Further, Regal Crown Technology Limited, the Company's wholly owned
subsidiary, has appointed Morison Heng CPA Limited (member of the Morison
Global group) as its auditor.
