Issue of Equity & Exercise of LTIPs
 
 
Renew (AIM: RNWH), the leading Engineering Services Group supporting UK infrastructure,  announces that a total of 126,280 options to acquire ordinary shares of 10p each in the Company ("Ordinary Shares") pursuant to the Company's Long-Term Incentive Plan ("LTIP") were exercised on 14 December 2020. On the same day, Paul Scott, Sean Wyndham-Quin and Andries Liebenberg, sold 23,994, 17,814 and 17,814 of these shares respectively at an average price of 500p per share to satisfy income tax and national insurance liabilities.
 
Following the exercise and sale set out above, Mr Scott's shareholding has increased to 101,565 shares representing 0.129% of the issued share capital, Mr Wyndham-Quin's shareholding has increased to 33,909 representing 0.043% of the issued share capital and Mr Liebenberg's shareholding has increased to 74,941 shares representing 0.095 % of the issued share capital.
 
Following this exercise, there are a further 618,696 options outstanding under the Company's Long-Term Incentive Plan all of which are subject to performance criteria and none of which have yet vested.  
 
Application will shortly be made to the London Stock Exchange for the admission of 126,280 new Ordinary Shares that were exercised under the LTIP to trading on AIM. Admission is expected to take place at 8.00am on 21 December 2020 and dealings in the placing shares will commence at that time. The Company's total issued share capital immediately following admission will consist of 78,681,334 Ordinary Shares with one voting right per share. The above figure of 78,681,334 Ordinary Shares may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company following admission.
