Conversion of Loan Notes and Total Voting Rights
RentGuarantor (AIM: RGG), a provider of rent guarantee services to prospective
tenants across the socio-economic spectrum wishing to rent property in the
UK(1) private rental sector, announces that further to its announcement on 16
September 2025, the Company has issued a total of 194,443 new ordinary shares
of 10 pence each ("Ordinary Shares") at an issue price of 18 pence per
Ordinary Share in settlement of the conversion requests for £35,000 of the
Company's convertible loan notes (the "Conversion Shares").
Further details are provided below in accordance with the requirements of the
UK Market Abuse Regulation.
Application has been made for the Conversion Shares to be admitted to trading
on the AIM market of the London Stock Exchange ("Admission"). It is
anticipated that Admission will occur on or around 1 October 2025.
From Admission, the Company's issued Ordinary Share capital will comprise
124,918,149 Ordinary Shares, with one voting right each. The Company does not
hold any Ordinary Shares in treasury. Therefore, the total number of Ordinary
Shares and voting rights in the Company is 124,918,149.
From Admission, the above figure may be used by shareholders in the Company as
the denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in, the
share capital of the Company under the FCA's Disclosure Guidance and
Transparency Rules.
