Redemption of Convertible Loan Notes

 

RentGuarantor (AIM: RGG), a provider of rent guarantee services to prospective
tenants across the socio-economic spectrum wishing to rent property in the
UK(1) private rental sector, announces that the Company has redeemed a
principal value of £120,000 of the Company's outstanding convertible loan
notes, whose issue was originally announced on 18 November 2024 and 8 January
2025 (the "2025 Convertible Loan Notes").

 

These 2025 Convertible Loan Notes have been redeemed in full, from the
Company's cash resources, under their existing terms and are now cancelled and
there are now no further convertible loan notes remaining in that 2025
Convertible Loan Note series.  The 2025 Convertible Loan Notes had 10%
interest and a final repayment date of 18 November 2026.

 

The 2025 Convertible Loan Notes redeemed were held by Southpaw Limited*
(£80,000), Caroline Dixon* (£20,000) and the Company's Chief Operating
Officer Emma Foy (£20,000).

 

 

* Paul Foy, the Company's Chief Executive Officer, is a director of and the
owner and ultimate beneficiary of Southpaw Limited which is also a substantial
shareholder in the Company.  Caroline Dixon is the partner of Paul Foy.
