Directorate Changes

Further to the announcement made on 13 March 2024, the Board of River and
Mercantile UK Micro Cap Investment Company Limited ("RMMC") is pleased to
announce that Ted Holmes has been appointed as Chair of the Audit Committee
with immediate effect.  Ted is an existing independent NED on the Board of
RMMC and was appointed in September 2023.

 

RMMC is also pleased to announce the appointment of Ms Serena Tremlett as a
non-executive director with immediate effect.

 

Serena is a Guernsey-based company director and consultant with over 25 years
of experience of funds, listed companies, company secretarial and regulatory
matters.

Serena was a co-founder and managing director of Morgan Sharpe Administration
Limited, a Guernsey fund and corporate services administrator which was
established in April 2008 and then sold to Estera Group in 2017.  Morgan
Sharpe's clients included listed companies and some of the biggest names in
private equity and real estate.

Prior to Morgan Sharpe, Serena was managing director of Assura Group's
Guernsey office and company secretary to what was a FTSE 250 listed company at
that time from 2006 to 2008.  From 1996 to 2006, she developed her funds
career at Mourant (Guernsey) Limited and Guernsey International Fund Managers
Limited.

Serena holds the Institute of Directors Diploma in Company Direction and is
currently studying for a Global MBA with the University of London.

Key Relevant skills

·    Over 25 years of financial services experience, primarily in Guernsey

·    Since 2001, has been a director of listed and unlisted and general
partner companies in many jurisdictions

·    Strength in corporate governance and Guernsey regulation.

Commenting on the appointment, John Blowers, Chairman of RMMC said, "I am
delighted to welcome Serena onto the Board of the investment trust and look
forward to working together. Her significant  experience in fund
administration will help us to further improve our governance and oversight as
we continue to best represent our shareholders' interests.

 

I am also pleased to see Ted Holmes take on the role of Audit Chair and have
every confidence in his ability to manage the tasks ahead.

 

We now have a fresh yet experienced Board, post-Continuation Vote in March,
who aim to further develop the appeal of this innovative and unique investment
trust."
