ADMISSION OF SHARES

 

Rolls-Royce Holdings plc (the Company) announces that an application has been
made to the Financial Conduct Authority and the London Stock Exchange for a
total of 49,100,000 Ordinary shares of 20p each (Shares) to be admitted to the
Official List.

Admission of the Shares is expected on 28 June 2023.

The Shares will be issued to the Employee Benefit Trust upon admission of the
Shares and will rank pari passu with the existing issued Ordinary shares.
