Notification and public disclosure of transactions by persons discharging managerial responsibilities and persons closely associated with them
 
Rolls-Royce Holdings plc (the Company)announces that on 15 March 2019 the following awards were made to its persons discharging managerial responsibility (PDMRs): -
1.    Deferred share awards, made under the rules of the Rolls-Royce Deferred Share Bonus Plan at a price of £8.9167 per share. The deferred shares will be transferred to each PDMR from the Rolls-Royce 2016 Employee Benefit Trust in two years' time, provided that the PDMR remains an employee of a Rolls-Royce group company.

2.    Grant of conditional share awards made under the rules of the Rolls-Royce Long Term Incentive Plan (LTIP) at a price of £8.9167 per share.  No amount is payable upon the grant of the award. The awards will vest in 2022 subject to performance criteria being met and are then subject to a two year holding period. In the event the performance conditions are not satisfied the awards will lapse.
