The Company announces that the following persons discharging managerial
responsibilities transacted in ordinary shares of 20p each in Rolls-Royce
Holdings plc due to the vesting of awards* made under the Rolls-Royce
Long-Term Incentive Plan (2017 award).
*The awards matured in May 2020 and were subject to a two-year holding period
before vesting.
