Notification of transactions
by a Person Discharging Managerial Responsibilities ("PDMR")
Rotork PLC (the "Company") announces that on 11 April 2024 Ben Peacock was
granted conditional share awards over an aggregate of 70,640 ordinary shares
in the Company (the "Awards"). The number of shares over which Awards were
granted was calculated using the average of the market prices at the close of
trading on the London Stock Exchange on the five dealing days prior to the
grant date, being £3.2624 per ordinary share.
The Awards were granted to facilitate the recruitment of Ben Peacock and to
compensate him for awards forfeited by him as a result of leaving his previous
employer to move to the Company. In determining the structure of the Awards
the form, timing and expected value of the forfeited awards were considered.
The Awards will be satisfied by way of a transfer of shares by the trustee of
the Company's employee benefit trust. The Awards will be subject to malus and
clawback provisions, and continued employment (subject to market-standard good
leaver provisions). Save for this, the Awards are not subject to any
performance condition.
The Awards vest in three tranches. The first tranche vested on 11 April 2024,
and consequently 8,811 shares were transferred to Mr Peacock on 11 April 2024.
A further 31,897 shares will vest on 11 April 2025 and 29,932 shares will vest
on 18 April 2026.
