Directorate Changes

 

The board of  the Company (the "Board") wishes to announce that, with effect
from 27 July 2022, Mr Paul McNaughton, Mr Barry O'Dwyer and Mr Paul McGowan
have resigned as a non-executive directors of the Company.  Mr William
McKechnie, Ms Jessica Irschick, Ms Ros O'Shea and Ms Deirdre Somers remain as
non-executive directors of the Company.

 

Mr Paul McNaughton also resigned as Chair of the Company with effect from 27
July 2022, with Mr William McKechnie appointed as Chair with effect from 27
July 2022.

 

The Board also wishes to announce the appointment of Mr Padraig Kenny as a
non-executive director of the Company, with effect from 27 July 2022.

 

Padraig Kenny, aged 62 (Irish):

Mr Kenny has 35 years experience in the financial services industry, of which
30 at the level of Managing Director and Chief Executive. Starting in aviation
finance, Mr Kenny focused on the Asset Management and Securities Services
industries, for a range of leading international banks - Irish, North American
and European. Major responsibilities included institutional portfolio
management; entry to international markets for Bank of Ireland Asset
Management; establishment or transformation of the Global Securities Services
businesses in Ireland of Bankers Trust (US) and Royal Bank of Canada, both
focused on servicing the UCITS market for regulated investment funds; and the
establishment and organic and non-organic expansion in Europe and the US of
the Asset Management business of Unicredit Group. Throughout, Mr Kenny held
positions that were subject to deep local and international regulatory
oversight, and subject to a wide range of corporate and investment fund
governance frameworks. Mr Kenny is now focused on Business Transformation
Leadership.

Mr Kenny graduated in Law from University College Dublin; qualified
professionally in Ireland as a Solicitor; received a Professional Diploma in
Corporate Governance from the UCD Smurfit Business School; earned an MSc from
UCD Smurfit Business School; and is a former Chairman of the Irish Funds
Industry Association.
