Publication of Final Terms

SECURITIES ACT).

 

Royal Bank of Canada issued USD2,000,000,000 4.851% Covered Bonds due December
14, 2026, Series CB92 on December 14, 2023 under a Pricing Supplement dated
December 6, 2023 (the "Covered Bonds") pursuant to the €75,000,000,000
Global Covered Bond Programme of Royal Bank of Canada, unconditionally and
irrevocably guaranteed as to payments by RBC Covered Bond Guarantor Limited
Partnership (the "Programme").  Final Terms dated January 4, 2024 have been
released today to allow the listing of this issue as detailed below.

 

The following document constitutes the final terms dated January 4, 2024 (the
"Final Terms") relating to the admission to trading of the Covered Bonds with
effect from January 5, 2024 for purpose of Article 8 of Regulation (EU)
2017/1129 and as it forms part of domestic law by virtue of the European Union
(Withdrawal) Act 2018 (EUWA) and must be read in conjunction with the
Prospectus dated July 27, 2023, as supplemented by the 1(st) Supplementary
Prospectus dated August 25, 2023, the 2(nd) Supplementary Prospectus dated
December 18, 2023 and the 3(rd) Supplementary Prospectus dated January 3, 2024
relating to the Programme (together, the "Prospectus").  Full information on
Royal Bank of Canada and the offer of the Covered Bonds is only available on
the basis of the combination of the Final Terms and the Prospectus.

 

The Final Terms have been submitted to the National Storage Mechanism and will
shortly be available for inspection at:
https://data.fca.org.uk/#/nsm/nationalstoragemechanism.
