Publication of Final Terms

SECURITIES ACT).

 

Royal Bank of Canada issued today USD5,000,000,000 Floating Rate Covered Bonds
due October 30, 2030, Series CB99 (the "Covered Bonds"), pursuant to the
€75,000,000,000 Global Covered Bond Programme of Royal Bank of Canada,
unconditionally and irrevocably guaranteed as to payments by RBC Covered Bond
Guarantor Limited Partnership (the "Programme").

 

The following document constitutes the final terms dated October 28, 2025 (the
"Final Terms"), relating to the admission to trading of the Covered Bonds with
effect from October 30, 2025 for purpose of Article 8 of Regulation (EU)
2017/1129 and as it forms part of domestic law by virtue of the European Union
(Withdrawal) Act 2018 (EUWA). Terms used in the Final Terms shall be deemed to
be defined as such for purposes of the Conditions (the "Conditions") set forth
in the prospectus dated July 9, 2025, as supplemented by the first
supplementary prospectus dated August 28, 2025, which together constitute a
base prospectus (the "Prospectus").  Full information on Royal Bank of Canada
and the offer of the Covered Bonds is only available on the basis of the
combination of the Final Terms and the Prospectus.

 

The Final Terms have been submitted to the National Storage Mechanism and will
shortly be available for inspection at:
https://data.fca.org.uk/#/nsm/nationalstoragemechanism.
