The Sage Group plc (the Company)
Notification of transactions of directors and persons discharging managerial responsibilities
This notification relates to transactions notified to the Company in accordance with DTR 3.1.4R(1)(a).
On the vesting of awards under the Sage Group Restricted Share Plan (the RSP) on 9 December 2015, the following members of the executive committee of the Company became beneficially entitled to the number of ordinary shares of 14/77pence each in the Company (ordinary shares) set out below, all of which were held in trust by Elian Employee Benefit Trustee Limited as trustee of The Sage Group plc Employee Benefit Trust (the Trustee). The Trustee will transfer the legal title to the ordinary shares to the individuals (or as they may direct) in accordance with the rules of the RSP for no consideration, subject to the sale of any ordinary shares on the individual's behalf in order to discharge the individual's tax liability in respect of the vesting of the award.

Also, on 9 December 2015 the persons named below, who are executive directors and/or persons discharging managerial duties of The Sage Group plc, were granted conditional awards over ordinary shares under the Sage Deferred Bonus Plan. The number of ordinary shares that will be acquired on the vesting of the award, subject to the rules of the plan, is specified opposite the participant's name. No price is payable either on the grant or vesting of an award. The awards will normally vest, subject to continued employment, on 9 December 2018.

Also the Company has been notified that on 9 December 2015 Klaus-Michael Vogelberg, a member of the executive committee of the Company, exercised an option over 8,131 ordinary shares at the exercise price of 190 pence per ordinary share under the terms of The Sage Group Savings Related Share Option Plan.
