Notification of Transactions of Persons Discharging Managerial Responsibilities 
 
This notification relates to transactions notified in accordance with article 19 of the Market Abuse Regulation.
 
Sage announces that on 11 June 2020 it granted options (the "Options") over a total of 2,924,638 ordinary shares of 14/77 pence each to 2,742 employees pursuant to the all-employee The Sage Save and Share Plan (the "Plan"). 
 
The Options for UK participants are exercisable between 1 August 2023 and 31 January 2024 with the exercise price set at a 20% discount to the average middle market quotation of the three dealing days prior to the launch of the Plan on 19 May 2020 and is 511 pence per ordinary share.  The invitation to join the Plan was made available to all employees of Sage globally, who were employed on or before 6 May 2020. Employees are limited to a maximum saving of £500 per month (or equivalent in local currency) over the period of the Plan.  The grant of Options amounts to 0.2609% of Sage's issued share capital as at 11 June 2020.  The exercise of Options on maturity is not dependent upon performance criteria.
