The Sage Group plc. (the "Company")
 
 
Notification of Transactions of Persons Discharging Managerial Responsibilities
 
This notification relates to transactions notified in accordance with article 19 of the Market Abuse Regulation.
 
On 2 December 2019 the persons named below, who are Persons Discharging Managerial Responsibilities of Company including a PCA, were granted awards over ordinary shares of 14/77 pence each in The Sage Group plc. under each of
·     The Sage Group plc 2019 Restricted Share Plan (RSP),
·     The Sage Group plc 2015 Performance Share Plan (PSP), and
·     The Sage 2016 Deferred Share Bonus Plan (DSBP)
respectively as shown below (the "Awards"). The maximum number of shares that may be acquired on the vesting of the Awards is specified opposite each participant's name below. No price is payable either on the grant or vesting of the Awards. The Awards will vest, subject to continued employment and performance conditions (where applicable) on 2 December 2022. The PSP awards of the Executive Directors being Steve Hare, Jonathan Howell and Blair Crump are subject to a two-year holding period after the vesting date with the vested shares being released on 2 December 2024. The Awards are subject to malus (withholding) and recovery (clawback).
