** Co reaches agreement on recommended cash offer by
Cerezzola, unit of upholstery retailer Poltronesofà
** Adds proposed deal for 280 pence per share, values co at
99.4 mln pounds ($121.9 mln)
** Deal priced at a 66% premium to last close 169p
** As of last close, stock up 4.96% YTD
