Assignment of Convertible Loan Note Investment in EVOO AI plc

Sealand Capital Galaxy Limited (LSE: SCGL) notes recent market commentary and
public regulatory filings regarding EVOO AI plc ("EVOO"), and announces that
it entered into an agreement to assign its £300,000 Convertible Loan Note,
together with associated warrants in EVOO, to VBG Consulting Holdings Limited,
an unconnected third-party, for a cash consideration of £250,000.

 

Details of the Company's investment in, and relationship with, EVOO were set
out in the Company's prospectus, dated 7 November 2025. The Master Services
Agreement between the Company and EVOO, detailed in the prospectus, was not
implemented and, following a review of corporate priorities, the parties did
not pursue the SEA-VOO initiative further.

 

This is consistent with the Company's evolving corporate focus and previously
communicated approach. Following completion of the assignment, the Company
will have no remaining financial interest in EVOO.
