Share Transfer and Issue of Performance Rights
 
Seeing Machines Limited (AIM: SEE, "Seeing Machines" or the "Company"), the advanced computer vision technology company that designs AI-powered operator monitoring systems to improve transport safety, advises that 1,604,166 Ordinary Shares currently held by Seeing Machines Executive Share Plan Trust (the "Trust") have been transferred to Non-Executive Directors as part of their remuneration for FY2019. 
 
Under the Company's Remuneration Policy, Non-Executive Directors are entitled to receive a portion of their annual remuneration (between the value of A$15,000 to A$30,000) in shares. The number of Ordinary Shares received by each individual was calculated at an issue price of 4 pence per Ordinary Share, being the average daily VWAP over the 5 trading days to 30 September 2019.

Following the transfers outlined above, the Trust holds 39,800,562 Ordinary Shares in the Company, representing 1.06 per cent of the total voting rights of the Company.
 
Further, Seeing Machines has awarded performance rights in respect of a total of 29,964,495 Ordinary Shares ("Performance Rights") to a total of 63 staff under the Company's Long Term Incentive ("LTI") scheme. The Performance Rights vest annually over the following three years, in equal tranches. Awards under the LTI scheme are based on achievement of Company objectives specified in FY2020. 
 
Of the 29,964,495 Performance Rights issued to staff under the LTI scheme, a total of 1,180,204 Performance Rights have been issued to Naomi Rule, CFO.
