** Adobe set to pay $12/shr for Semrush, report says, citing people familiar with the matter

** That represents a premium of around 77.5% to Semrush's closing price on Tuesday

** ADBE and SEMR did not respond immediately to Reuters' requests for comment

** Deal will help Adobe strengthen AI-driven marketing tools and brand analytics capabilities

** Up to last close, Semrush shares down 43.10% YTD, while Adobe shares down 27.03%
