Total Voting Rights and Capital

 

In accordance with the FCA's Disclosure Guidance and Transparency Rules, the
Company notifies that its total issued share capital at 29 April
2022 comprised 1,207,870,341 ordinary shares of 2 pence each with one
voting right per share.  The Company holds 10,138,447 Ordinary Shares in
treasury.

 

The total number of voting rights in Serco Group plc is
therefore 1,207,870,341. This figure may be used by shareholders as the
denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in, the
Company under the FCA's Disclosure Guidance and Transparency Rules.
