* Signs binding agreement for the purchase of 100 percent of Tintoria Lombarda, an Italian
operator of wash-hire services for the healthcare industry
* Parties have previously agreed on a price of about 14.2 million euros ($15.56 million) for
100 percent of the share capital of Tintoria Lombarda
* Price could be subject to marginal reduction due to maintenance activities pertaining the
counterparty and to be finalized before closing
* Purchase of the company will be financed through bank debt
