Total Voting Rights

In accordance with the UK Financial Conduct Authority's Disclosure and
Transparency Rule 5.6.1, Shearwater Group PLC (the "Company") advises that at
30 January 2026 the issued share capital of the Company is 23,829,712 ordinary
shares with voting rights. The Company does not hold any shares in Treasury.

Therefore the total number of shares with voting rights is 23,829,712 and
this figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Shearwater Group PLC under the
UK Financial Conduct Authority's Disclosure and Transparency Rules.
