ACCC approval of Shell offer

BG Group plc ("BG Group" or the "Company") today confirms that the recommended cash and share offer for the Company to be made by Royal Dutch Shell ("Shell") has received unconditional merger clearance fromthe Australian Competition and Consumer Commission (ACCC).

The approval is one of the five regulatory clearances that are pre-conditions to the combination and this is the third pre-condition to be satisfied, following the clearance obtained from the Brazilian competition authority, CADE, on 24 July 2015, and the European Commission, on 2 September 2015. The two remaining pre-conditional approvals are from Australia's Foreign Investment Review Board (FIRB) and China's Ministry of Commerce (MOFCOM).

The proposed transaction will also require support from both BG Group and Shell shareholders.

The pre-conditions and conditions to the combination are set out in the announcement of the proposed offer released on 8 April 2015.
