       June 13 (Reuters) - The following bids, mergers,
acquisitions and disposals were reported by 1945 GMT on
Thursday:
    
    ** Britain's Bellway  BWY.L  said it had made an all-share
proposal to acquire Crest Nicholson  CRST.L  last month, which

    ** Investment firms Battery Ventures and Silver Lake are
exploring a sale of Clubessential Holdings, which they hope will
value the club-management-software provider at close to $3
billion, according to people familiar with the matter.

    ** Adani-backed Ambuja Cements  ABUJ.NS  bought out smaller
rival Penna Cement Industries  PENC.NS  for an enterprise value
of 104.22 billion rupees ($1.25 billion), dialling up its

    ** Lufthansa  LHAG.DE  is likely to secure EU antitrust
approval for its bid to buy a stake in state-owned Italian
airline ITA, with regulators leaning towards clearing the deal,
three people with direct knowledge of the matter said.

    ** Contract manufacturer Future Pak said it has raised the
cash portion of its buyout offer as part of a final attempt to

with Sigma Healthcare's  SIG.AX  proposed merger with retailer

    ** Sony Pictures Entertainment (SPE)  6758.T  has acquired
U.S. cinema chain Alamo Drafthouse Cinema, the companies said on
