    * To acquire 100% of equity interests in Sinopec 
Energy-Saving Technology Service Co from Sinopec Consulting co 
by way of equity transfer 
    * Deal at a consideration of RMB90 million 
    * Consideration will be settled in cash by co by way of two 
installments, each as to 51% and 49% of consideration
