    * Major and connected transaction in relation to the 
acquisition of 100% equity interests in a logistics company  
    * Co entered into acquisition agreement with China Merchants 
    * Company agreed to acquire China Merchants Logistics 
Holdings shares at an aggregate consideration of RMB5.45 billion 
    * Consideration to be satisfied by issuance of up to 1.44 
billion consideration shares at initial issue price of HK$4.43 
per domestic share
