    * Proposed disposal of the entire issued and paid-up share 
capital of Beijing Raffles Investment Advisory Co. Ltd. 
    * Company has entered into a conditional share sale and 
purchase agreement with Advanceleap Corporation Pte. Ltd 
    * Deal for a consideration of S$10 million 
    * Proceeds from the proposed disposal will be used to expand 
the business of the company's subsidiary - Orion Energy 
Resources Pte. Ltd
