Electrica informs its shareholders and investors that, during the meeting held
on 27 March 2026, the Board of Directors decided, following the recommendation
of the Nomination and Remuneration Committee, the following:

·    granting a new 4-year mandate of Chief Executive Officer (CEO) to Mr.
Alexandru-Aurelian Chirita, starting 1 January 2027 (the current mandate
expires of 31 December 2026) until 1 January 2031 (inclusive);

·    granting a new 4-year mandate of Chief Business Development Officer
(CBDO) to Ms. Ioana - Andreea Lambru, starting 16 March 2027 (the current
mandate expires of 15 March 2026) until 16 March 2031 (inclusive);

·    appointment of Mr. Costin-Ionut Iordache as interim Chief Financial
Officer (CFO), starting 1 April 2026 until 31 December 2026 (inclusive);
