Announcement
on the reimbursement of the dividend tax for 2015 and 2016 to investment funds without legal personality
Taking into consideration the different interpretations of the law on dividend tax paid to investment funds without legal personality considered as such according to regulations on the Romanian capital market, we state that on the payment date of the dividends for 2015 and 2016 the dividend tax was withheld by applying a 5% rate on the gross dividend.
Further to the correspondence with Romania fiscal authorities in order to clarify the situation, we inform you that starting with this date steps will be taken in order to reimburse the tax withheld from beneficiaries investment funds without legal personality for the dividends paid, in 2015 and 2016, considering that the provisions of Law 227/2015 on the Fiscal Code entered into force staring with January 1, 2016. 
In order to set an appropriate fiscal treatment, S.N.G.N. ROMGAZ S.A. requests until August 23, 2017 the Participants and the Investment Management Companies to communicate the status of the shareholders representing Investment Funds without legal personality, within their custody. The situation will be accompanied by the following documents:
 Statement signed by the legal representative/authorised person representing the investment fund attesting that it is an closed/open investment fund, that it has no legal personality, the fund identification data (sole registration code), as it is mentioned in the Shareholders Registry kept by the Central Depositary, the full name of the investment fund, the authorisation decision, the registration number in the Register of Financial Instruments and Investments, the number and Financial Supervisory Authority notification date and its validity, as well as any other documents and information considered to be necessary;
 Copy of the valid identification document (signed by the titleholder) of the legal representative/authorised person to represent the fund - ID/CI with the personal number code (CNP) for Romanian citizens or passport with identification number for foreign citizens;
 Copy of the relevant document attesting the position of the person signing the declaration of legal representative/authorised person representing the investment fund;
 Copy of the certificate issued by the Financial Supervisory Authority (former National Securities Commission).
