In compliance with Article 108 of Law 24/2017 on Issuers of Financial
Instruments and Market Operations, republished, and Article 234 paragraph 1,
item i) of the F.S.A. Regulation No. 5/2018 on Issuers of Financial
Instruments and Market Operations, S.N.G.N. ROMGAZ S.A reports transactions
concluded with affiliates based on the request for opening a term deposit
without auto-renewal option, with the interest rate negotiated on December 11,
2024, in amount of RON 80,000,000.00, due on January 27, 2025.

The interest rate applied to the above mentioned deposit is 6.18% per year.

We mention that, S.N.G.N ROMGAZ S.A has had deposits at Exim Banca Romaneasca
S.A. with a cumulative value over 12 months exceeding the materiality
threshold of 5% of the net asset value, and 10% of the net turnover related to
2023 financial year. Some of these deposits matured before December 11, 2024.
