Annual Financial Report

and

Notice of Annual General Meeting

 

Following the release on 22 October 2025 of the Group's preliminary results
for the year ended 31 July 2025, Softcat announces that it has published its
2025 Annual Report and Accounts ('Annual Report') and Notice of 2025 Annual
General Meeting ('Notice of AGM') on its website at

The Company also announces that its 2025 Annual General Meeting ('AGM') will
be held at 11.30 a.m. on 15 December 2025 at Solar House, Fieldhouse Lane,
Marlow, Buckinghamshire, SL7 1LW, United Kingdom.

Hard copies of the Annual Report and Notice of AGM will be mailed on 6
November 2025 to those shareholders who have elected to continue to receive
paper communications.

In accordance with the UK Listing Rule 6.4.1, the below documents will be
submitted to the Financial Conduct Authority via the National Storage
Mechanism ('NSM') and will shortly be available to the public for inspection
at https://data.fca.org.uk/#/nsm/nationalstoragemechanism
(https://data.fca.org.uk/#/nsm/nationalstoragemechanism) .

·    Notice of 2025 AGM

 

In accordance with the Disclosure Guidance and Transparency Rule 6.3.5(1A),

·    the principal risks and uncertainties facing Softcat;

·    the Directors' responsibility statement made in respect of the
