RECOMMENDED CASH ACQUISITION

its affiliates ("KKR"))
to be effected by means of a Scheme of Arrangement under Part 26 of the
Companies Act 2006
UPDATE ON CONDITIONS AND EXPECTED SCHEME TIMETABLE
On 2 July 2025, the boards of Spectris and Bidco, a special purpose vehicle
indirectly wholly owned by investment funds and vehicles advised or sponsored
by KKR, announced that they had reached agreement on the terms of a
recommended cash offer by Bidco for the entire issued and to be issued share
capital of Spectris (the "Acquisition").
On 5 August 2025, the boards of Spectris and Bidco announced that they had
reached agreement on the terms of a recommended increased cash offer pursuant
to which Spectris Shareholders will be entitled to receive an offer value of
£41.75 per Spectris Share, comprising £41.47 in cash and an interim dividend
of 28 pence per Spectris Share, for the entire issued and to be issued share
capital of Spectris (the "Increased Cash Offer").
The Acquisition is being implemented by means of a court-sanctioned scheme of
arrangement under Part 26 of the Companies Act 2006 (the "Scheme") and is
subject to the terms and conditions set out in the circular in relation to the
Scheme sent to Spectris Shareholders dated 29 July 2025 (the "Scheme
Document"), as amended by the terms of the Increased Cash Offer.
On 27 August 2025, Spectris announced that at a Court Meeting and General
Meeting held on that date, all shareholder resolutions relating to the
Acquisition were approved by the requisite majorities.
Capitalised terms used in this announcement shall, unless otherwise defined,
have the meanings set out in the Scheme Document.
Satisfaction of antitrust and regulatory Conditions
Spectris and Bidco are pleased to announce that the foreign direct investment
("FDI") authorities in France, the Netherlands and Spain have issued decisions
granting authorisation under applicable FDI laws. Accordingly, the Conditions
set out in paragraphs 4.5, 4.9 and 4.10 of Part A of Part III of the Scheme
Document have been satisfied.
Spectris and Bidco are therefore pleased to confirm that all Conditions
relating to the receipt of antitrust and regulatory approvals as set out in
paragraphs 3 and 4 of Part A of Part III of the Scheme Document have now been
satisfied or (where capable of waiver) waived.
The Scheme remains subject to certain other Conditions set out in Part III of
the Scheme Document including, among other things, sanction by the Court at
the Sanction Hearing, the delivery of a copy of the Court Order to the
Registrar of Companies and the satisfaction (or, where applicable, waiver) of
the remaining Conditions set out in Part III of the Scheme Document.
Next steps and timetable
An updated expected timetable of principal events for the implementation of
the Scheme is set out below. In particular, Spectris confirms that the
Sanction Hearing has been scheduled to be held on 2 December 2025. Details of
the Sanction Hearing will be available on the Court service website on the
date before the Sanction Hearing. A further announcement will be made
following the Sanction Hearing.
Subject to the Scheme receiving the sanction of the Court at the Sanction
Hearing, the delivery of a copy of the Court Order to the Registrar of
Companies and the satisfaction (or, where applicable, waiver) of the remaining
general Conditions set out in Part III of the Scheme Document, the Scheme is
expected to become Effective on 4 December 2025.
The last day for dealings in, and for the registration of transfers of,
Spectris Shares on the London Stock Exchange's main market for listed
securities (the "Main Market") is, therefore, expected to be 3 December 2025,
with all dealings in Spectris Shares being suspended from 7.30 a.m. on 4
December 2025. It is also expected that the admission to trading of Spectris
Shares on the Main Market will be cancelled with effect from 7.30 a.m. on 5
December 2025.
These dates and times are indicative only and subject to change. If any of the
dates and/or times in the expected timetable change, the revised dates and/or
times will be notified to Spectris Shareholders by announcement through a
Regulatory Information Service.
Full details of the Acquisition are set out in the Scheme Document. All
references to times in this announcement are to London time.

and operate by reference to that date.

However, the Long Stop Date may be extended to such later date as: (i) Bidco
and Spectris may agree; or (ii) (in a competitive situation) as may be
specified by Bidco with the consent of the Panel, and in each case that, if so
