AGM Alternative Arrangements

 

 

Spirax-Sarco Engineering plc, the world leader in thermal energy management, peristaltic pumping and associated fluid path technologies, today announces the following arrangements for its Annual General Meeting to be held on Wednesday, 13th May 2020 at 1400 hrs (AGM).

 

In our Circular to Shareholders and Notice of AGM issued on 26th March 2020, we highlighted that we may hold our AGM via a combination of both attendance and conference call/audio webcast to comply with the UK Government measures and laws designed to reduce the transmission of COVID-19.  These laws and mandatory measures prohibit, amongst other things, individuals engaging in non-essential travel and public gatherings of more than two people, save where the gathering is essential for work purposes.  In order to ensure shareholders can comply with the Stay at Home Measures, the Board has concluded that shareholders will not be able to gain access to the AGM in person on the day.  In order to comply with the legal requirements for holding the AGM, a quorum will be constituted by those Directors/employee shareholders in attendance who will observe social distancing measures. 

Despite these necessary changes to the format of the AGM, as we stated in the Circular and Notice, it is vital that we achieve the right balance between acting responsibly and accountability. 

To ensure that shareholders have an opportunity to engage with the Board, we have put in place a dial-in facility for shareholders wishing to participate using the following telephone number: +44 (0)20 3478 5289.  A passcode is required, which can be obtained by contacting us at the email address below.  Shareholders dialling into the AGM will be able to speak or ask questions at the start of the meeting relating directly and only to the resolutions and the business of the meeting

The results of the votes on the proposed resolutions will be announced in the normal way as soon as practicable after the conclusion of the AGM.

In order to ensure that shareholders' votes are counted, the Board strongly encourages shareholders to exercise their right to vote by appointing the Chair of the AGM as their proxy to exercise their right to vote at the AGM in accordance with their instructions.  Shareholders can do this by submitting their Form of Proxy and are encouraged to do so online.  Simply go to www.sharevote.co.uk and follow the instructions. 

 

Proxy appointments should be provided as soon as possible and must, as we stated in our Circular to Shareholders and Notice of AGM, be received by Equiniti no later than 1400 hrs on Monday, 11th May 2020 in order to be valid.
