Announcement of Initial Enforcement Order: Kpler/Spire Global's Maritime Data Business

The CMA has reasonable grounds to believe that the Parties will complete the Merger following the signing of SPA on 13 November 2024 and a settlement agreement in the Delaware Court of Chancery on 6 April 2025. Therefore, on 16 April 2025, the CMA served an initial enforcement order under section 72(2) of the Enterprise Act 2002 on Kpler Holding SA, exactEarth Ltd (Canada) and its subsidiary exactEarth Europe Limited (UK). The initial enforcement order will take effect upon completion of the Merger.
