Transfer of Shares to AI Board Adviser and TVR

 

SysGroup plc (AIM:SYS), the trusted partner for cloud, cybersecurity, and AI
enablement, delivering end to end solutions at the intersection of
cybersecurity and digital transformation for the UK mid-market, today
announces that it has transferred 71,482 ordinary shares of £0.01 each
("Ordinary Shares"), to Dr. David K Park, Adviser to the Board on Artificial
Intelligence.

The share transfer has been made in accordance with the terms of the Adviser
Agreement announced on 9 December 2025, under which Dr. Park is entitled to
receive ordinary shares to the value of £10,000.

To satisfy the consideration, 71,482 existing Ordinary Shares have been
transferred from treasury on 13 March 2026 (the "Transfer"). Subsequent the
Transfer, Dr. Park will hold 71,482 ordinary shares in the Company.

 

Total Voting Rights

Following the Transfer, the Company's issued ordinary share capital remains
unchanged at 85,515,091 Ordinary Shares, of which 1,789,912 are held in
treasury. Therefore, the number of Total Voting Rights in the Company will be
83,725,179, and this figure may be used by Shareholders as the denominator for
the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, the voting rights of the
Company under the FCA's Disclosure Guidance and Transparency Rules.
