Sub: Acquisition of equity stake in T Steel Holdings Pte. Ltd

 

This is further to our disclosures dated May 12, 2025, June 25, 2025, July 10,
2025,August 26, 2025, September 24, 2025, October 29, 2025, December 19, 2025,
and February 2, 2026 regarding infusion of funds by Tata Steel Limited
('Company') by way of subscription to equity shares of T Steel Holdings Pte.
Ltd ('TSHP'), a wholly owned foreign subsidiary of the Company.

 

In this connection, we wish to inform you that, the Company has today i.e., on
February 26, 2026, acquired 261,90,47,620 equity shares of face value USD
0.1008 each aggregating to USD 264 million (₹2,401.50 crore*) in TSHP. Post
this acquisition, TSHP will continue to be a wholly owned foreign subsidiary
of the Company.

 

This disclosure is being made in compliance with Regulation 30 and 51 read
with Schedule III of the Securities and Exchange Board of India (Listing
Obligations and Disclosure Requirements) Regulations, 2015, as amended.

 

*USD to INR exchange rate has been taken as ₹90.9661 as published by Reserve
Bank of India on February 24, 2026.
