Sub:    Divestment of entire stake held in Ceramat Private Limited by Tata
Steel Advanced Materials Limited, a wholly owned subsidiary of Tata Steel
Limited

 

The Board of Directors of Tata Steel Advanced Materials Limited ('TSAML'), a
wholly owned subsidiary of Tata Steel Limited ('the Company'), at its Board
meeting held earlier today, i.e. August 18, 2025, has approved the divestment
of the entire equity (90%) and preference (100%) stake held by TSAML in
Ceramat Private Limited ('CPL'), to Lionstead Applied Materials Private
Limited ('Lionstead'), a wholly owned subsidiary of Lionstead Ventures LLP and
consequently a Share Purchase Agreement ('SPA') has been executed between
TSAML, CPL, Lionstead and other shareholders of CPL.

 

With this divestment, TSAML ceases to hold any securities in CPL and
consequently CPL ceases to be a subsidiary of the Company.

 

The relevant details with respect to the divestment are given in Annexure 1.
