Dear Madam, Sirs,

 

Sub: Pronouncement of Order by the Hon'ble National Company Law Tribunal,
Kolkata bench, approving the Resolution Plan submitted by Tata Steel Mining
Limited, a wholly owned subsidiary of Tata Steel Limited, for acquisition of
Rohit Ferro-Tech Limited

 

This is further to our disclosure dated June 6, 2021, whereby the Company
informed the stakeholders that on June 5, 2021, the Committee of Creditors, in
terms of the Corporate Insolvency Resolution Process ('CIRP') of the
Insolvency and Bankruptcy Code 2016 ('Code'), declared Tata Steel Mining
Limited ('TSML'), an unlisted wholly owned subsidiary of Tata Steel Limited as
the successful resolution applicant for the acquisition of Rohit

Ferro-Tech Limited ('RFT'), subject to necessary regulatory approvals
including approval from the Hon'ble National Company Law Tribunal, Kolkata
bench ('Hon'ble NCLT').

 

In this connection, please be informed that pursuant to Section 31(1) of the
Code, the Hon'ble NCLT has today i.e., April 7, 2022, orally pronounced its
Order approving the Resolution Plan submitted by TSML for acquisition of RFT.
The copy of the order approving the Resolution Plan is yet to be uploaded on
the website of Hon'ble NCLT and the same will be provided once available.

 

This disclosure is being made in compliance with Regulation 30 of the SEBI
(Listing Obligations and Disclosure Requirements) Regulations, 2015, as
amended.
