Subject: Pronouncement of Order by the Hon'ble National Company Law Tribunal,
Hyderabad Bench in the matter of the Scheme of Amalgamation of Bhubaneshwar
Power Private Limited into and with Tata Steel Limited

 

This has reference to our earlier disclosure dated November 1, 2023, in
connection with the Scheme of Amalgamation of Bhubaneshwar Power Private
Limited into and with Tata Steel Limited ('Scheme of Amalgamation'), under the
provisions of Sections 230 to 232 and other applicable provisions of the
Companies Act, 2013 read with the Rules framed thereunder.

 

This is to inform you that the Hon'ble National Company Law Tribunal,
Hyderabad Bench ('Hon'ble NCLT'), has on June 6, 2024, pronounced the order,
sanctioning the aforesaid Scheme of Amalgamation ('Order').

 

The copy of the Order will be submitted once the same is uploaded on the
website of the Hon'ble NCLT.

 

This disclosure is being made in terms of Regulation 30 of the Securities and
Exchange Board of India (Listing Obligations and Disclosure Requirements)
Regulations, 2015, as amended.
