Subject: Pronouncement of Order by the Hon'ble National Company Law Tribunal,
Mumbai Bench, approving and sanctioning the Scheme of Amalgamation amongst
Tata Steel Limited and Angul Energy Limited and their respective shareholders

 

This is further to our disclosures dated February 6, 2023, January 5, 2024,
February 9, 2024 and

April 19, 2024 in connection with the Scheme of Amalgamation amongst Tata
Steel Limited ('Transferee Company/Company') and Angul Energy Limited
('Transferor Company') and their respective shareholders ('Scheme of
Amalgamation'), under the provisions of Sections 230 to 232 and other
applicable provisions of the Companies Act, 2013 read with the Rules framed
thereunder.

 

This is to inform you that today i.e. July 3, 2024, the Hon'ble National
Company Law Tribunal ('Hon'ble NCLT'), Mumbai Bench, having jurisdiction over
the Transferee Company, pronounced the order approving and sanctioning the
aforesaid Scheme of Amalgamation ('Order').

 

Further, the Scheme of Amalgamation was approved and sanctioned by the Hon'ble
NCLT, Delhi Bench, having jurisdiction over the Transferor Company, vide its
order dated April 18, 2024.

 

In view of the above, the Scheme of Amalgamation stands approved and
sanctioned.

 

The copy of the Order as uploaded on the website of the Hon'ble NCLT, Mumbai
Bench, is enclosed herewith.
