Subject: Pronouncement of Order by the Hon'ble National Company Law Tribunal,
Mumbai Bench sanctioning the Scheme of Amalgamation amongst Tata Steel Limited
and

Tata Metaliks Limited and their respective shareholders

 

This is further to our disclosures dated September 22, 2022 and August 10,
2023, in connection with the Scheme of Amalgamation amongst Tata Steel Limited
('Transferee Company / Company') and Tata Metaliks Limited ('Transferor
Company') and their respective shareholders ('Scheme of Amalgamation'), under
the provisions of Sections 230 to 232 and other applicable provisions of the
Companies Act, 2013 read with the Rules framed thereunder.

 

This is to inform you that the Hon'ble National Company Law Tribunal, Mumbai
Bench ('NCLT Mumbai'), having jurisdiction over the Transferee Company, has
today, i.e., January 11, 2024, pronounced the order sanctioning the aforesaid
Scheme of Amalgamation ('Order').

 

Further, the Scheme of Amalgamation was approved and sanctioned by the
National Company Law Tribunal, Kolkata Bench, having jurisdiction over the
Transferor Company, vide its order dated

December 21, 2023.

 

In view of the above, the Scheme of Amalgamation stands approved and
sanctioned.

 

The copy of the Order as available on the website of NCLT Mumbai is enclosed.

 

This disclosure is being made in terms of Regulation 30 of the Securities and
Exchange Board of India (Listing Obligations and Disclosure Requirements)
Regulations, 2015, as amended.
