Notification of transactions by Persons Discharging Managerial
Responsibilities
Tate & Lyle PLC (the 'Company') announces that a grant of awards over the
ordinary shares of 29 1/6 pence each in the capital of the Company ('Shares')
was made on 5 July 2024 under the Tate & Lyle Performance Share Plan 2020
('PSP') in respect of the year ended 31 March 2024 to Persons Discharging
Managerial Responsibilities ('PDMR') as detailed in the table below:

Awards under the PSP are structured as conditional awards. Awards granted
under the PSP will only vest to the extent that certain performance criteria
are satisfied by the Company over a three-year performance period which runs
from 1 April 2024 to 31 March 2027. Awards made under the RSU are conditional
awards subject to the rules of the PSP but not subject to the performance
conditions attached to awards made under the PSP. The RSU awards will vest in
two equal tranches, the first tranche within one month of the completion of
the acquisition of CP Kelco and the second tranche 12 months after completion
of the acquisition of CP Kelco subject to certain performance conditions. No
consideration is payable for the grant of awards under the PSP.
The notifications below, which have been made in accordance with the
requirements of the Market Abuse Regulation, provide further detail.
