Board Appointments and Changes to Board Committee Membership

 

TBC Bank Group PLC ("TBC PLC") is pleased to announce the appointment of
Janet Heckman as an Independent Non-Executive Director with immediate effect.
In line with TBC PLC's "Mirror Board" policy, Ms. Janet Heckman was also
appointed as a member of the Supervisory Board of JSC TBC, subject to
obtaining National Bank of Georgia approval.

Ms. Janet Heckman was the Managing Director for the Southern and Eastern
Mediterranean Region at the European Bank for Reconstruction and Development
from February 2017 until December 2019. Ms. Heckman joined the EBRD in July
2012 from Citi as Director, Head of Kazakhstan and appointed as an independent
Air Astana Board Director in 2019. She was appointed as an independent Astana
International Exchange Board director in 2020. During her long career at Citi,
she spent time as EMEA Corporate and Investment Managing Director and held a
number of field roles across EMEA, and was responsible for Global Relationship
Banking across CEMEA.

TBC PLC confirms that there are no additional details that are required to be
disclosed under LR 9.6.13R of the Listing Rules of the Financial Conduct
Authority.

A number of changes were made to the composition of TBC PLC's Board
Committees.
