Establishment of ESG and Ethics Committee and Changes in the Board Committees

 

TBC Bank Group PLC ("TBC PLC") together with its main subsidiary JSC TBC Bank
(the "Bank") is pleased to announce a new membership structure of its
committees and the establishment of the Environmental, Social and Governance
("ESG') and Ethics Committee at the Board and the Supervisory Board level.
 The purpose of the ESG and Ethics Committee is to support the Board and the
Supervisory Board in its oversight of the strategy, policies, initiatives and
programs in relation to ESG matters.

Eran Klein, independent non-executive director, has been appointed as the
chair of the ESG and Ethics Committee. The other members of the ESG and Ethics
Committee are Tsira Kemularia and Rajeev Sawhney.

Rajeev Sawhney has been appointed as the new chair of Technology and Data
Committee.
